Project-specific terms matter: SiteFueler does not begin custom work from a generic website checkout. Scope, price, timing, deliverables, revisions and assumptions are agreed first in a proposal, quotation, email approval or statement of work.
1. Parties and project formation
“SiteFueler” means the trade name under which Dhanush R S carries on business as a sole proprietor in Karnataka, India. “Client” means the person or entity accepting a proposal or authorizing work. No fee is charged for an initial inquiry unless stated before a paid discovery session.
A project begins only when SiteFueler accepts the work, the Client accepts the project documents, required access and content are available, and the required advance clears. Discussion alone is not an obligation to accept a project.
2. Project documents and priority
The signed or accepted statement of work, proposal, quotation, specification, milestone plan and approved change requests define the Project. If documents conflict, the most specific and most recently accepted project document controls, followed by these Professional Services Terms and then the general Terms and Conditions.
A statement of work should identify deliverables, exclusions, client dependencies, supported environment, milestones, revision rounds, acceptance method, fees, payment dates and any warranty or maintenance period.
3. Scope and assumptions
SiteFueler will perform only the services and deliverables expressly included. Common exclusions unless listed include copywriting, branding, photography, premium licenses, hosting, domain registration, ongoing content entry, legal review, formal accessibility certification, penetration testing, tax configuration, data migration beyond described fields, and maintenance after handover.
An estimate depends on information available when quoted. Hidden technical debt, malware, undocumented customizations, inaccessible hosting, third-party limitations or inaccurate Client information may require a change request.
4. Client responsibilities
The Client must:
- appoint a person authorized to make decisions and approvals;
- provide accurate requirements, content, brand assets, credentials and access on time;
- maintain a current independent backup unless backup work is included;
- obtain rights and permissions for supplied text, media, fonts, software and data;
- review work and provide consolidated feedback within agreed periods;
- test business rules, prices, taxes, content and user journeys under its control;
- protect credentials, use least-privilege temporary accounts where possible, and revoke SiteFueler access after handover; and
- comply with laws applicable to the Client’s organization, website, users and industry.
SiteFueler is not responsible for delay or defect caused by incomplete instructions, missing access, conflicting feedback, undisclosed constraints or unauthorized changes made by the Client or another provider.
5. Access, backups and working environment
Work should be performed in staging where reasonably practicable. The Client authorizes SiteFueler to access the systems listed in the Project solely to perform the work. SiteFueler may create temporary administrator, hosting, database, API or SFTP access and should remove or return it at completion.
Before high-risk changes or migration, the responsible party will make a backup as stated in the Project. A backup reduces risk but does not guarantee immediate recovery. Credentials must not be placed in ordinary tickets or public documents when a safer agreed channel is available.
6. Fees, advance and taxes
Unless the proposal says otherwise, approximately 50% of the agreed fee is due in advance and the balance is due after agreed completion and approval and before final handover. SiteFueler may divide larger projects into paid milestones.
SiteFueler is not currently GST registered and does not separately charge GST as a registered supplier. Prices and invoices will be updated if applicable registration or tax duties change. Bank, currency-conversion, payment-provider, domain, hosting, theme, plugin, API, stock or other third-party costs are payable as stated in the Project.
SiteFueler may pause work for an overdue amount after reasonable notice. The schedule moves accordingly. The Client remains responsible for authorized work and committed non-refundable external costs.
7. Timeline and delays
Delivery dates are good-faith estimates unless expressly identified as fixed. They depend on timely Client access, content, feedback, third-party services and technical conditions. SiteFueler will communicate a material known delay and propose a revised plan.
If the Client is inactive beyond the review period, SiteFueler may pause the Project and reallocate capacity. After reasonable reminders, a prolonged inactive Project may be closed. Restart can depend on availability and a revised estimate or restart fee disclosed beforehand.
8. Changes and out-of-scope work
Either party may propose a change. SiteFueler will identify the effect on fees, timing and dependencies before performing material out-of-scope work. A change becomes authorized through written approval in email, support/project system, signed document or another agreed record.
Emergency work reasonably necessary to prevent immediate data loss or serious security harm may be performed within a pre-authorized limit. Otherwise SiteFueler will seek approval first.
9. Revisions
The Client receives the number and type of revisions stated in the Project. A revision refines an agreed deliverable; it does not add a new page, integration, workflow, design direction or requirement. Feedback should be specific, consolidated and tied to the agreed scope. Additional revisions or conflicting stakeholder instructions may require a change request.
10. Experimental and third-party-dependent work
For experimental, highly customized or technically uncertain work, SiteFueler will discuss known feasibility limits and dependencies before starting. Research, prototypes or troubleshooting are services of reasonable skill and effort, not a promise that every desired result is technically possible.
SiteFueler does not guarantee results controlled by hosting, browsers, WordPress core, themes, plugins, APIs, search engines, payment providers, email providers, accessibility technology or another third party. We will report material blockers and propose available alternatives.
11. SEO, performance, security and accessibility
SEO work can improve technical foundations but cannot guarantee rankings, traffic, indexing, leads or revenue. Performance work is measured in the stated environment and can change with content, traffic, geographic location, third-party scripts, hosting and later updates.
Security hardening reduces risk but cannot make a website invulnerable. Accessibility work improves agreed criteria but is not a legal certification unless a separate qualified audit and written conformance statement are included. The Client remains responsible for ongoing content, operational controls and updates after handover.
12. Review, testing and acceptance
SiteFueler will notify the Client when a milestone or final deliverable is ready for review. The Client must test the agreed user journeys and report material non-conformity within the review period stated in the Project, or within 7 business days if none is stated.
A deliverable is accepted when the Client approves it in writing, uses it in production without a reported material issue, pays the final balance, or does not report a material scope-related problem within the review period after a clear completion notice. Acceptance does not waive an express warranty or mandatory legal right.
13. Handover and final payment
After acceptance and cleared final payment, SiteFueler will hand over the agreed final files, website control, credentials, documentation or repository access. Drafts, rejected concepts, internal tools, working notes and unused alternatives are not deliverables unless stated.
The Client should promptly confirm access, change passwords, enable multi-factor authentication where available, preserve backups and transfer billing ownership for third-party services as agreed.
14. Ownership and licenses
Upon full payment, the Client owns the original final project deliverables expressly created exclusively for that Client, excluding SiteFueler’s pre-existing materials, reusable know-how, generic components, tools, methods and third-party materials. SiteFueler grants a perpetual license to included pre-existing material as reasonably necessary to use the paid deliverable.
Third-party WordPress themes, plugins, fonts, images, APIs and open-source code remain subject to their licenses. SiteFueler cannot transfer rights it does not own. The Client is responsible for renewals after handover unless maintenance is included.
SiteFueler will not publicly identify or display a confidential Client project as a portfolio item without the permission recorded in the project agreement or a separate approval.
15. Confidentiality and personal data
Each party will protect the other’s non-public business, technical and customer information using reasonable care and use it only for the Project. Confidentiality does not cover information already lawfully known, public without breach, independently developed or lawfully received from another source.
If SiteFueler processes personal data on the Client’s instructions, the Data Processing Terms apply to the extent stated in the Project. The Client must minimize access and avoid providing production personal data when test data will work.
16. Subcontractors and providers
SiteFueler may use infrastructure and specialist providers reasonably necessary for the Project, subject to appropriate confidentiality and security expectations. A project-specific provider, remote collaborator or subprocessor will be disclosed when relevant to personal data, confidential information, cost or a Client restriction.
17. Warranties and correction period
SiteFueler warrants that services will be performed with reasonable skill and care and that, at handover, the deliverable will materially conform to the accepted Project in the supported environment. Unless the Project states another period, report a reproducible scope-related defect within 14 days after handover. SiteFueler’s first remedy is to correct the verified defect within a reasonable time.
The correction period does not cover new requirements, unsupported systems, Client or third-party changes, expired licenses, malware introduced after handover, hosting failure, content errors, normal maintenance or a platform update released after acceptance.
18. Maintenance and support after handover
Ongoing hosting, updates, monitoring, backups, security response, content changes, troubleshooting and maintenance are not included unless stated. They may be purchased under a separate plan or request. Informal answers after handover do not create an unlimited support obligation.
19. Cancellation and termination
Cancellation, advance-payment and refund rules are stated in the Refund and Cancellation Policy. Either party may terminate for an uncured material breach after reasonable written notice. Immediate termination may apply to non-payment, illegal instructions, abuse, serious security risk or conduct that would expose a party to legal violation.
On termination, the Client pays for authorized work and committed costs up to termination. SiteFueler will provide paid usable work where reasonably separable, subject to legal, security and third-party restrictions.
20. Liability
Neither party excludes liability that law does not permit it to exclude. To the maximum permitted extent, SiteFueler is not liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by Client content, missing backups, unauthorized changes or an independent third-party service.
SiteFueler’s aggregate liability connected with a Project will not exceed the amount paid for the affected Project during the six months before the event, unless the Project states another fair cap or mandatory law requires otherwise.
21. Disputes and governing law
The parties will first attempt good-faith resolution through the project contact and then admin@sitefueler.com. Indian law governs. Subject to non-excludable consumer rights, competent courts in Dakshina Kannada District, Karnataka, India have jurisdiction.
